MPG-girl Competition – 2009 Terms and Conditions

1. General

1.1 These terms and conditions are to apply to all applications made to the MPG-girl competition within the year 2009.

1.2 The company responsible for MPG-girl and its assigns shall continue to be referred to collectively as MPG.

1.3 All Persons who choose to enter the competition shall be referred to as the entrant.

1.4 MPG will open the competition for entry on 1st March 2009 with contact to suitable entrants commencing on 14th March 2009. Display of entrants and voting shall commence no later than 30th April 2009.

1.5 MPG reserves the right to change or add to these terms and conditions with written notice to all entrants.

1.6 This should not be considered as a contract of employment or membership however these terms and conditions act as an outline for the agreement between MPG and entrants by which MPG shall pay entrants for their participation on a freelance self-employed basis.

1.7 Entrants if successful in applying must not, without consent, make available any statement in any media form or forum which might be unduly critical, negative or of a derogatory fashion of the company and / or its representatives.

1.8 Entrants upon selection will be required to sign these terms in the form of legally binding contract.

1.9 All entrants must be at least 18 years of age at time of application and will be required to provide identification to verify this.

2. Competition Entry, Selection and Structure

2.1 There is no charge for entry to the competition and at no point should any entrant be required to make payment to MPG for their place.

2.2 Entry to the competition is on a rolling basis where the selection of suitable applicants will take place based on merit from the open of the competition. Not all entrants will be selected for the competition.

2.3 The starting intention is to allow for a total of 200 competitors.

2.4 In the case where more than 200 entrants are suitable for qualification this shall be extended further as necessary to a maximum of 6 sets of 200 entrants competing on a heat basis each heat lasting 30 days with the winner of each heat selected to compete in a final competition.

2.5 The winner of the competition is to be selected by public voting through SMS and online votes. Each vote will be counted and made available at the end of competition for review by any outside party.

3. Photography and Rights

3.1 All competition photography is to be carried out by PYNK London and no other photography will be made public. For copyright reasons MPG will not use any other photography of any model as all rights belong to outside parties.

3.2 MPG will select appropriate images from those submitted for promotion and use on the MPG website.

3.3 Content from the entrants photoshoot at PYNK will be made available to visitors to MPG-girl.com for download following payment via MMS billing.

3.4 All rights to images from the competition belong to MPG and may not be displayed on any other site without the express written permission of MPG.

4. Promotion Commitment

4.1 MPG commits to promote all entrants through a variety of mediums both online and in physical mediums without preference of prejudice.

4.2 MPG will arrange a number of events commencing from 1st June which each entrant may choose to attend to promote their entry. Events will be based around the UK and attendance is not mandatory.

4.3 Entrants should actively be involved with the member community however this is not a fixed commitment.

4.4 Each entrant should set up an account at MySpace, Facebook, Bebo and Face-Pic to promote their entry however this does not need to be their personal profile. Please note that they are not required to maintain the profiles once set up however it is recommended.

5. Compensation

5.1 In return for the exchange of rights to images for the competition and their entry all entrants are to be adequately compensated and guaranteed a royalty on all sold images and votes as set out herein.

5.2 MPG intends to generate revenue from the competition in the following ways asterisk denotes item of mandatory involvement all others are optional and supply of content is at the descretion of the entrant:

5.2.a Standard SMS* vote sold at £1.50

5.2.b Gold Star SMS* vote sold at £5.00

5.2.c MSN chat add sold at £5.00

5.2.d 3rd Party Images* sold at £1.50

5.2.e 3rd Party Image* sets sold at £3.00

5.2.f 3rd Party Video sold at £3.00

5.3 Entrants will be paid for all content and votes relating to them throughout the competition sold by MPG directly at the following rates:

5.3.a Standard SMS vote revenue after costs at 80p entrant receives 10% commission (8p per vote)

5.3.b Gold Star SMS vote commission paid on net therefore commission is 20% (£1 per vote)

5.3.c MSN chat add commission paid on net therefore commission is 20% (£1 per add)

5.4 Content will be sold by third party sites and generate the following payments to entrants:

5.4.a Image sold - 10p

5.4.b Video sold - 20p

5.4.c Mobile set sold - 60p

5.5 All payments will be made to models on a monthly basis following 60 days from the first revenue generating action (eg 60 days from their first vote and on a monthly basis thereafter) payments are made where the amount should exceed £50, otherwise it shall be carried over to the following month.

5.6 All outstanding amounts regardless of the amount shall be finally paid and settled on 1st December 2009.

5.7 The winner of the competition in addition to prizes listed at the MPG-girl.com site will receive 10% after costs of the overall competition votes in addition to their personal revenues.

5.8 The winner of the competition will be photographed for the MPG girl calendar for which a separate calendar shall be drawn up. Their payment for this will be a commission of 18% after costs of all calendars sold.

5.9 All entrants are required to seek their own further tax advise regarding payments.
